Part I

Account Opening, Eligibility and Services

1.Introduction

Welcome to ChequeIn, a digital money management platform owned and operated by Trybesave Technologies Limited ("Trybesave", "we", "our", or "us").

These Terms and Conditions ("Terms") govern your access to and use of the ChequeIn mobile application, website, APIs, products and all related services (collectively referred to as the "Platform").

ChequeIn is designed to help individuals and businesses better manage their finances through digital wallets, savings, payments, financial insights, artificial intelligence-powered budgeting, wellness scoring, and other financial management tools.

To deliver regulated financial services, Trybesave partners with licensed financial institutions and other regulated financial service providers authorized by the Central Bank of Nigeria ("CBN"). Certain services available through the Platform, including account services, payments, savings, lending and settlement, may therefore be provided through these licensed partners in accordance with applicable laws.

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional product-specific terms that may apply to particular services.

If you do not agree with these Terms, you must not access or use the Platform.

2.Definitions

Unless the context otherwise requires, the following words shall have the meanings assigned to them below:

Account means your registered ChequeIn profile through which you access the Platform.

Applicable Laws means all laws, regulations, regulatory guidelines, directives and circulars applicable to the Platform, including those issued by the Central Bank of Nigeria (CBN), Nigeria Data Protection Commission (NDPC), Nigerian Financial Intelligence Unit (NFIU), Securities and Exchange Commission (SEC), Federal Competition and Consumer Protection Commission (FCCPC), and any other competent authority.

Artificial Intelligence (AI) means machine learning models, algorithms and automated technologies used by the Platform to generate financial insights, budgeting recommendations, transaction categorization, wellness scores, fraud detection, and other automated services.

Business Day means any day other than a Saturday, Sunday or public holiday in Nigeria.

CBN means the Central Bank of Nigeria.

ChequeIn means the digital money management application owned and operated by Trybesave Technologies Limited.

Customer, User, or You means any individual or entity that registers for or uses the Platform.

KYC means Know Your Customer requirements prescribed under Nigerian law.

AML/CFT/CPF means Anti-Money Laundering, Counter Financing of Terrorism and Counter-Proliferation Financing obligations applicable under Nigerian law.

Licensed Financial Partner means any licensed Microfinance Bank, Deposit Money Bank, Payment Service Provider, Payment Solution Service Provider, Switching Company or any other licensed institution engaged by Trybesave to provide regulated financial services.

NDPA means the Nigeria Data Protection Act, 2023, together with all subsidiary regulations and guidelines.

NFIU means the Nigerian Financial Intelligence Unit.

NIBSS means the Nigeria Inter-Bank Settlement System Plc.

Platform means the ChequeIn application, website, APIs, software, and related services.

Wallet means the digital wallet or account accessible through the Platform and supported by a Licensed Financial Partner.

Wellness Score means an AI-generated financial health assessment based on your financial behaviour and usage of the Platform.

Words importing the singular include the plural and vice versa.

3.Eligibility

You may only use the Platform if you satisfy all applicable eligibility requirements.

By creating an account, you represent and warrant that:

  1. you are at least eighteen (18) years old or have otherwise attained the age required to enter legally binding contracts under Nigerian law;
  2. you possess the legal capacity to enter into these Terms;
  3. all information provided during registration and thereafter is true, complete, current and accurate;
  4. you are not prohibited by any law, court order, regulatory directive or sanctions programme from accessing financial services;
  5. you are not opening or operating an account on behalf of another person without lawful authority;
  6. you will use the Platform solely for lawful purposes.

Where permitted by law, Trybesave may make the Platform available to minors under the supervision and consent of a parent, guardian or legally authorized representative, subject to additional requirements determined by us.

We reserve the right to refuse any application for an account where we are unable to verify your identity, where regulatory requirements are not met, or where opening such an account may expose Trybesave or its Licensed Financial Partners to legal, regulatory, operational or reputational risk.

4.Account Opening

4.1Registration

To use the Platform, you must create an account by providing all information requested during registration.

This information may include:

  1. Full name;
  2. Mobile telephone number;
  3. Email address;
  4. Date of birth;
  5. Residential address;
  6. National Identification Number (NIN);
  7. Bank Verification Number (BVN);
  8. Government-issued identification;
  9. Selfie or biometric verification;
  10. Any additional information required by applicable law.

Registration does not automatically guarantee account activation.

Your account will only become fully operational after completion of all applicable verification requirements.

4.2Single Customer Policy

Each individual is permitted to maintain only one primary account unless otherwise approved by Trybesave.

Multiple accounts established to circumvent transaction limits, promotional campaigns, security controls or regulatory requirements may be suspended or permanently closed.

4.3Accuracy of Information

You are responsible for ensuring that all information supplied remains accurate and current.

You agree to promptly notify us of any change to your identity, address, telephone number, email address or other registration information.

Trybesave shall not be responsible for losses arising from inaccurate or outdated information supplied by you.

4.4Account Security

You are responsible for maintaining the confidentiality of your login credentials, security PIN, passwords, biometric authentication and one-time passwords (OTPs).

Any instruction authenticated using your approved security credentials shall be deemed to have been authorized by you unless proven otherwise.

4.5Account Restrictions

We may decline, suspend, restrict or terminate any account where:

  1. required verification cannot be completed;
  2. fraudulent information has been supplied;
  3. suspicious activity is detected;
  4. regulatory instructions require such action;
  5. continued operation may expose the Platform or its Licensed Financial Partners to unacceptable risk.

5.Know Your Customer (KYC) and Anti-Money Laundering (AML)

Trybesave is committed to maintaining a robust compliance framework designed to prevent money laundering, terrorist financing, fraud, corruption, identity theft and other financial crimes.

Accordingly, every customer must successfully complete all applicable customer due diligence procedures before accessing regulated financial services.

Depending on the service requested and applicable regulatory requirements, we may require one or more of the following:

  1. Bank Verification Number (BVN);
  2. National Identification Number (NIN);
  3. Government-issued identification;
  4. Selfie or biometric verification;
  5. Residential address verification;
  6. Utility bill or other proof of address;
  7. Source of funds documentation;
  8. Source of wealth documentation;
  9. Employment or business information;
  10. Tax Identification Number where applicable;
  11. Any additional documentation required by law.

Trybesave and its Licensed Financial Partners reserve the right to verify your information through authorized databases including NIBSS, NIMC and other legally approved verification services.

Verification may be conducted before account activation and periodically throughout your relationship with us.

You authorize us to carry out ongoing customer due diligence, sanctions screening, politically exposed person (PEP) screening, adverse media screening, transaction monitoring and enhanced due diligence where required.

We may request updated KYC information at any time.

Failure to provide requested information may result in suspension, restriction or closure of your account.

Where suspicious activity is identified, Trybesave may delay, refuse, freeze or report transactions in accordance with applicable AML/CFT/CPF laws without prior notice where legally permitted.

6.Services

ChequeIn is a digital money management platform that enables users to organize, monitor and improve their financial wellbeing through technology-driven financial solutions.

Subject to regulatory approval, product availability and successful verification, the Platform may provide access to:

  1. Digital wallet services;
  2. Personal and group savings;
  3. Goal-based savings;
  4. Automated savings;
  5. Payments and transfers;
  6. Bill payments;
  7. Airtime and data purchases;
  8. Merchant payments;
  9. Spending analytics;
  10. Financial reports;
  11. AI-powered budgeting;
  12. Wellness Score;
  13. Credit eligibility assessments;
  14. Lending products offered through licensed partners;
  15. Investment opportunities where legally permitted;
  16. Open Banking integrations;
  17. Financial education tools;
  18. Cashback, loyalty and reward programmes;
  19. Other products introduced from time to time.

Certain services may be unavailable depending on your verification level, risk profile, applicable regulations, or operational considerations.

Trybesave may modify, suspend or discontinue any feature where required by law, regulation, security considerations or commercial necessity.

7.Wallets

Your ChequeIn Wallet is a digital financial account made available through the Platform in partnership with licensed financial institutions.

The Wallet enables you to receive funds, store value, make payments, transfer money, save towards financial goals and access other financial products available on the Platform.

Ownership of funds held through the Wallet shall remain with you, subject to applicable law, regulatory restrictions, court orders and these Terms.

The custody of customer funds and settlement of regulated financial transactions shall be carried out through licensed financial institutions engaged by Trybesave in accordance with applicable regulatory requirements.

Wallet functionality may be subject to:

  1. KYC verification level;
  2. Transaction limits;
  3. Daily transfer limits;
  4. Regulatory restrictions;
  5. Security reviews;
  6. Fraud monitoring;
  7. Applicable fees and charges.

Trybesave reserves the right to place temporary holds, decline transactions or restrict Wallet functionality where necessary to comply with legal obligations, investigate suspicious activity, protect customers or maintain the integrity of the Platform.

Wallet balances do not constitute deposits with Trybesave. Where deposits or savings are maintained through a licensed financial institution, such funds shall be subject to the applicable terms governing those products and any protections available under Nigerian law.

8.Savings

8.1Savings Services

ChequeIn provides digital savings solutions designed to help users achieve their financial goals through disciplined saving and money management. Savings products may include personal savings, target savings, group savings, automated savings, recurring savings, challenge savings, emergency savings, and any other savings products introduced from time to time.

Savings services are made available through the Platform in collaboration with licensed financial institutions and are subject to applicable regulatory requirements.

8.2Savings Instructions

You authorize Trybesave to process your savings instructions, including recurring transfers, scheduled contributions, automatic deductions and withdrawals, in accordance with your selected preferences.

You are solely responsible for ensuring that sufficient funds are available to execute your savings instructions.

8.3Savings Goals

The Platform allows you to create one or more savings goals with specified target amounts and target dates.

The progress displayed for any savings goal is informational only and does not constitute a guarantee that the target amount will be achieved.

8.4Locked Savings

Certain savings products may restrict withdrawals until the maturity date selected by you.

Where you elect to lock your savings, withdrawals before maturity may:

  1. be prohibited;
  2. attract an early withdrawal charge;
  3. result in the forfeiture of accrued interest or rewards; or
  4. be subject to additional terms applicable to the specific savings product.

The applicable terms shall be disclosed before you activate the relevant savings plan.

8.5Savings Records

The transaction history and savings balances displayed within the Platform shall constitute prima facie evidence of your savings activity unless proven otherwise.

Trybesave reserves the right to correct any computational, technical or clerical error affecting your savings records.

9.Interest

9.1Interest Eligibility

Where applicable, eligible savings products may earn interest.

Interest shall only accrue where expressly stated for the applicable savings product.

9.2Determination of Interest

Interest rates are determined by the licensed financial institution providing the savings product and may vary based on:

  1. prevailing market conditions;
  2. regulatory directives;
  3. product type;
  4. tenure;
  5. promotional campaigns;
  6. applicable monetary policy; or
  7. other lawful considerations.

Trybesave does not guarantee any minimum or fixed rate of return unless expressly stated.

9.3Interest Calculation

Interest may accrue daily, monthly or at such intervals specified for the applicable product.

The applicable calculation methodology shall be determined by the relevant licensed financial institution and disclosed through the Platform or the relevant product terms.

9.4Taxes

Interest payments may be subject to withholding tax or any other statutory deduction required under Nigerian law.

Any applicable taxes shall be deducted before interest is credited to your account.

9.5Changes to Interest Rates

Interest rates may be revised from time to time in accordance with applicable law and regulatory requirements.

Where required, users shall receive reasonable notice of material changes through the Platform or other approved communication channels.

10.Payments

10.1Payment Services

Subject to successful verification and applicable transaction limits, the Platform enables users to:

  1. transfer funds;
  2. receive payments;
  3. pay merchants;
  4. purchase airtime and data;
  5. pay utility and subscription bills;
  6. make QR code payments where available;
  7. perform account-to-account transfers;
  8. access additional payment services introduced from time to time.

10.2Payment Authorization

Every payment instruction authenticated using your registered credentials, security PIN, biometric authentication or one-time password shall be deemed authorized by you.

Trybesave may rely on such authentication when processing transactions.

10.3Transaction Limits

Payment limits may vary depending on:

  1. your KYC verification level;
  2. applicable CBN regulations;
  3. fraud prevention requirements;
  4. internal risk assessments;
  5. product-specific limitations.

Transaction limits may be revised without prior notice where required by law or for security reasons.

10.4Processing Times

Although most payments are processed in real time, processing may be delayed due to:

  1. network interruptions;
  2. scheduled maintenance;
  3. regulatory reviews;
  4. security checks;
  5. third-party system failures;
  6. force majeure events.

Trybesave shall not be liable for delays beyond its reasonable control.

10.5Failed Transactions

Where a transaction fails after your account has been debited, reversal shall be processed in accordance with applicable regulations and operational procedures.

Resolution timelines may vary depending on the nature of the transaction and the systems involved.

10.6Incorrect Payment Instructions

You are solely responsible for confirming that all payment details supplied by you are accurate before authorizing a transaction.

Trybesave shall not be liable for losses arising from payments made to incorrect beneficiaries based on information provided by you.

11.Lending

11.1Credit Products

The Platform may provide access to credit products, overdrafts, salary advances, Buy Now Pay Later (BNPL) services and other lending solutions offered by licensed financial institutions.

Availability of lending products shall be subject to regulatory approval and eligibility.

11.2Loan Assessment

Applications for credit may be assessed using:

  1. credit bureau information;
  2. transaction history;
  3. repayment history;
  4. income patterns;
  5. savings behaviour;
  6. AI-powered risk models;
  7. Wellness Score;
  8. fraud detection systems;
  9. other lawful credit assessment criteria.

Submission of an application does not guarantee approval.

11.3Credit Reporting

By applying for or accepting any lending product, you authorize Trybesave and its licensed financial partners to obtain, verify and share your credit information with licensed credit bureaus and other authorized institutions in accordance with applicable law.

11.4Repayment

Loan repayments shall become due in accordance with the applicable loan agreement.

Where authorized by you or permitted by law, repayments may be deducted automatically from your Wallet or other linked accounts.

11.5Default

Failure to repay any credit facility may result in:

  1. additional interest;
  2. default charges;
  3. suspension of lending services;
  4. reporting to licensed credit bureaus;
  5. debt recovery measures;
  6. legal proceedings where necessary;
  7. any other lawful enforcement action.

12.Artificial Intelligence (AI) Features

12.1AI-Powered Financial Management

ChequeIn uses artificial intelligence, machine learning and data analytics to improve your financial management experience.

AI-powered features may include:

  1. automatic expense categorization;
  2. budgeting assistance;
  3. spending pattern analysis;
  4. cash flow forecasting;
  5. bill reminders;
  6. savings recommendations;
  7. fraud detection;
  8. personalized financial insights;
  9. credit risk analysis;
  10. Wellness Score generation;
  11. personalized product recommendations;
  12. other intelligent features introduced from time to time.

12.2Automated Decision-Making

Certain decisions on the Platform may be generated or assisted by automated systems.

These decisions may include transaction monitoring, fraud prevention, eligibility assessments, financial recommendations and preliminary credit evaluations.

Where required by applicable law or internal policy, significant financial decisions shall be subject to additional review by authorized personnel or our licensed financial partners.

12.3User Consent

By using the Platform, you consent to the use of artificial intelligence technologies to analyse your financial data for the purposes described in these Terms and our Privacy Policy.

You acknowledge that AI-generated insights are intended to assist your financial decision-making and should not be regarded as financial, investment, legal or tax advice.

12.4Human Review

Where a material automated decision significantly affects your access to certain financial services, you may request a manual review by contacting our Customer Support team.

Trybesave reserves the right to determine whether a manual review is appropriate, having regard to applicable laws, regulatory obligations and the nature of the decision.

12.5Continuous Improvement

To improve the quality, security and accuracy of our AI systems, anonymized and aggregated data may be used for system training, testing, quality assurance and product enhancement in accordance with applicable data protection laws.

13.Wellness Score

13.1Overview

The Wellness Score is ChequeIn's proprietary financial wellness indicator designed to provide users with a comprehensive assessment of their overall financial health.

The score is intended to encourage positive financial habits and improve long-term financial wellbeing.

13.2Factors Considered

Your Wellness Score may be generated using one or more of the following factors:

  1. savings consistency;
  2. spending behaviour;
  3. budgeting performance;
  4. income stability;
  5. debt management;
  6. repayment history;
  7. financial discipline;
  8. transaction frequency;
  9. account activity;
  10. goal completion;
  11. AI-generated behavioural indicators;
  12. other lawful financial metrics.

The methodology used to generate the Wellness Score may be modified periodically to improve accuracy and reliability.

13.3Use of Wellness Score

Subject to applicable law and your consent where required, your Wellness Score may be used to:

  1. provide personalized financial recommendations;
  2. recommend suitable savings products;
  3. determine eligibility for rewards;
  4. improve budgeting assistance;
  5. assess preliminary eligibility for credit products;
  6. deliver customized financial education;
  7. enhance your overall experience on the Platform.

13.4No Guarantee

The Wellness Score is an informational tool only.

It does not constitute a credit rating, guarantee loan approval, determine your legal rights, or replace any assessment conducted by a licensed financial institution.

13.5Customer Rights

You may access your Wellness Score through the Platform and may contact Customer Support where you believe the information used in generating the score is inaccurate or incomplete.

Trybesave reserves the right to verify such requests before making any adjustments.

Part II

Fees, Data, Security, User Responsibilities, Fraud Prevention, Communications and Platform Use

14.Fees and Charges

14.1Applicable Fees

Certain services available through the Platform may attract fees, charges, commissions, statutory levies or taxes.

Applicable charges may include, without limitation:

  1. Transfer fees;
  2. Bill payment service charges;
  3. Airtime and data purchase charges;
  4. Merchant payment charges;
  5. Savings-related charges where applicable;
  6. Loan processing or default charges applicable to credit products;
  7. SMS notification charges where applicable;
  8. Card-related charges where available;
  9. Third-party service fees;
  10. Government taxes and statutory levies.

A current schedule of applicable fees shall be made available within the Platform or through other approved communication channels.

14.2Fee Disclosure

Before completing a chargeable transaction, the Platform will display the applicable fees, where technically feasible.

By authorizing the transaction, you agree to the applicable charges.

14.3Government Charges

Certain transactions may be subject to statutory deductions or government-imposed levies, including but not limited to the Electronic Money Transfer Levy (EMTL), withholding tax and any other charges prescribed by applicable law.

Such deductions shall be applied in accordance with prevailing laws and regulations.

14.4Third-Party Charges

Trybesave is not responsible for charges imposed by:

  1. Mobile network operators;
  2. Internet service providers;
  3. Other financial institutions;
  4. Payment schemes;
  5. Third-party merchants;
  6. Utility providers.

14.5Changes to Fees

Fees may be revised from time to time to reflect changes in operational costs, regulatory requirements or the pricing of third-party service providers.

Where required by law or regulation, reasonable notice of material fee changes will be provided before they take effect.

15.Open Banking and Financial Data Access

15.1Connected Financial Services

To provide enhanced money management services, the Platform may allow you to connect eligible financial accounts maintained with participating financial institutions.

Such connections are intended to enable a consolidated view of your finances and improve the quality of the services available through the Platform.

15.2Customer Consent

By linking an external financial account, you expressly authorize Trybesave to access, retrieve and process the financial information necessary to provide the requested service.

Your consent applies only to the categories of data reasonably required for the selected feature and remains subject to applicable law.

15.3Data Categories

Depending on the service requested, information accessed may include:

  1. Account identification details;
  2. Account balances;
  3. Transaction history;
  4. Income records;
  5. Merchant information;
  6. Standing orders;
  7. Direct debit mandates;
  8. Recurring payments;
  9. Spending categories;
  10. Other financial information relevant to the requested service.

15.4Purpose of Access

Financial data accessed through connected accounts may be used to:

  1. Generate financial insights;
  2. Prepare spending reports;
  3. Improve budgeting recommendations;
  4. Calculate your Wellness Score;
  5. Assess eligibility for financial products;
  6. Detect fraud and unusual activity;
  7. Improve AI-powered recommendations;
  8. Comply with regulatory obligations.

15.5Withdrawal of Consent

You may disconnect linked financial accounts or withdraw your consent at any time through the Platform, subject to applicable legal and regulatory obligations.

Withdrawal of consent may affect the availability or functionality of certain services.

15.6Regulatory Compliance

All Open Banking and financial data access services shall be conducted in accordance with applicable Nigerian laws, regulatory guidelines and industry standards as amended from time to time.

16.Privacy and Data Protection

16.1Commitment to Privacy

Trybesave respects your privacy and is committed to protecting your personal information.

Personal data is processed in accordance with the Nigeria Data Protection Act (NDPA), applicable CBN regulations and other relevant laws.

Our Privacy Policy forms an integral part of these Terms.

16.2Information We Collect

We may collect and process:

  1. Identity information;
  2. Contact details;
  3. Biometric verification information;
  4. Device information;
  5. Location information where permitted;
  6. Financial information;
  7. Transaction records;
  8. Payment history;
  9. Communication records;
  10. Customer support interactions;
  11. Usage analytics;
  12. AI-generated behavioural insights;
  13. Any other information required to provide the Platform.

16.3Purpose of Processing

Your information may be processed to:

  1. Verify your identity;
  2. Open and maintain your account;
  3. Deliver financial services;
  4. Process transactions;
  5. Detect fraud;
  6. Prevent financial crime;
  7. Generate financial insights;
  8. Improve our products;
  9. Comply with legal obligations;
  10. Respond to regulatory requests;
  11. Resolve complaints and disputes;
  12. Conduct internal audits and risk management.

16.4Data Sharing

Your information may be shared only where necessary with:

  1. Licensed financial partners;
  2. Payment service providers;
  3. Identity verification providers;
  4. Credit bureaus;
  5. Fraud prevention agencies;
  6. Technology service providers;
  7. Professional advisers;
  8. Regulators;
  9. Law enforcement agencies;
  10. Courts or tribunals;
  11. Other entities where disclosure is required or permitted by law.

Trybesave does not sell your personal information to advertisers.

16.5Customer Rights

Subject to applicable law, you may request to:

  1. Access your personal information;
  2. Correct inaccurate information;
  3. Update your records;
  4. Restrict certain processing activities;
  5. Withdraw consent where consent is the legal basis for processing;
  6. Request data portability;
  7. Lodge complaints with the Nigeria Data Protection Commission.

Certain requests may be limited where continued processing is required by law or for regulatory compliance.

16.6Data Retention

Personal information shall be retained only for as long as necessary to fulfil legal, regulatory, operational and contractual obligations.

Following expiry of applicable retention periods, data shall be securely deleted, anonymized or archived in accordance with applicable law.

17.Security

17.1Security Measures

Trybesave implements appropriate administrative, technical and organizational safeguards designed to protect the confidentiality, integrity and availability of customer information and financial transactions.

Security controls may include:

  1. Encryption of data in transit and at rest;
  2. Multi-factor authentication (MFA);
  3. Secure application programming interfaces (APIs);
  4. Fraud monitoring systems;
  5. Continuous security monitoring;
  6. Penetration testing;
  7. Access controls;
  8. Security audits;
  9. Incident response procedures.

17.2Customer Responsibilities

You are responsible for maintaining the confidentiality of your:

  1. Password;
  2. Security PIN;
  3. One-Time Passwords (OTPs);
  4. Authentication tokens;
  5. Biometric credentials;
  6. Recovery information.

You must not disclose your security credentials to any person.

17.3Unauthorized Access

You must immediately notify Trybesave if:

  1. your device is lost or stolen;
  2. you suspect unauthorized access to your account;
  3. your login credentials have been compromised;
  4. you become aware of any fraudulent transaction.

Delay in reporting may affect your ability to recover funds where permitted by law.

17.4Suspension for Security Reasons

To protect customers and the integrity of the Platform, Trybesave may temporarily suspend transactions or restrict access where suspicious activity, fraud risks or security concerns are identified.

18.Device Binding

18.1Registered Devices

For security purposes, your account may be associated with one or more trusted mobile devices registered by you.

18.2New Device Verification

Access from an unrecognized device may require additional verification measures, including:

  1. One-Time Password (OTP);
  2. biometric authentication;
  3. identity verification;
  4. facial verification;
  5. additional security questions; or
  6. any other authentication method considered appropriate.

18.3Device Management

You are responsible for ensuring that only authorized persons have access to devices used to access the Platform.

Where available, you may manage trusted devices through your account settings.

18.4Lost or Compromised Devices

If your registered device is lost, stolen or compromised, you must notify Trybesave immediately to enable us to restrict unauthorized access and implement appropriate security measures.

19.User Responsibilities

By using the Platform, you agree to:

  1. provide complete, accurate and current information;
  2. comply with all applicable laws and regulations;
  3. use the Platform solely for lawful purposes;
  4. maintain the confidentiality of your security credentials;
  5. promptly report unauthorized access or suspicious activity;
  6. ensure sufficient funds are available before initiating transactions;
  7. keep your contact information updated;
  8. cooperate with verification and compliance requests;
  9. maintain the security of your devices;
  10. comply with any additional product-specific terms applicable to services you access.

You further agree that you shall not:

  1. use the Platform for money laundering, terrorism financing or any unlawful activity;

ii. impersonate another person;

iii. create multiple accounts to evade transaction limits or security controls;

iv. submit false or misleading information;

  1. interfere with the operation or security of the Platform;

vi. attempt unauthorized access to any system or data;

vii. reverse engineer, copy or exploit any part of the Platform except as permitted by law;

viii. use automated tools or bots in a manner that disrupts the Platform;

ix. engage in fraudulent, deceptive or abusive conduct.

Trybesave reserves the right to investigate suspected breaches of these Terms and to take any action permitted by law, including suspension or termination of your account, reversal of transactions where legally permissible, reporting to competent authorities, and the commencement of civil or criminal proceedings where appropriate.

20.Fraud Prevention

20.1Commitment to Financial Security

Trybesave is committed to protecting the Platform, its users, and its licensed financial partners from fraud, financial crime, cyber threats, money laundering, terrorism financing, identity theft, and other unlawful activities.

Accordingly, we employ automated monitoring systems, artificial intelligence, transaction analytics, fraud detection tools, and manual reviews to identify suspicious activities.

20.2Monitoring of Transactions

You acknowledge and agree that all activities conducted through the Platform may be monitored, screened and reviewed for the purpose of:

  1. preventing fraud;
  2. detecting unusual transaction patterns;
  3. complying with AML/CFT/CPF obligations;
  4. preventing unauthorized access;
  5. identifying cybersecurity threats;
  6. complying with regulatory directives;
  7. protecting customers and the Platform.

20.3Verification Requests

Where we reasonably believe additional verification is required, we may request:

  1. updated identification documents;
  2. proof of address;
  3. source of funds;
  4. source of wealth;
  5. proof of ownership of linked accounts;
  6. supporting transaction documents;
  7. biometric verification;
  8. live facial verification; or
  9. any other information reasonably required to satisfy legal or regulatory obligations.

Failure to provide requested information within the prescribed timeframe may result in restrictions on your account.

20.4Fraud Reporting

You agree to immediately notify Trybesave if you:

  1. suspect fraud on your account;
  2. discover unauthorized access;
  3. lose your mobile device;
  4. disclose your security credentials;
  5. receive suspicious communications claiming to represent Trybesave;
  6. become aware of any fraudulent transaction.

Reports should be made through the official customer support channels provided by the Platform.

20.5Regulatory Reporting

Where required by law, Trybesave may report suspicious transactions or activities to the Nigerian Financial Intelligence Unit (NFIU), the Central Bank of Nigeria (CBN), law enforcement agencies, or any other competent authority without prior notice where legally permitted.

20.6Account Restrictions

To protect users and comply with applicable law, Trybesave may, without prior notice where legally permitted:

  1. decline transactions;
  2. delay transaction processing;
  3. place temporary holds on funds;
  4. freeze or restrict accounts;
  5. suspend access to services; or
  6. terminate customer relationships.

Such actions may be taken where fraud, financial crime, regulatory concerns or security risks are reasonably suspected.

21.Unauthorized Transactions

21.1Duty to Protect Your Account

You are responsible for safeguarding your login credentials, passwords, security PINs, biometric authentication, one-time passwords (OTPs) and any other authentication credentials.

You must not disclose these credentials to any person.

21.2Reporting Unauthorized Transactions

If you believe that an unauthorized transaction has occurred, you must notify Trybesave immediately after becoming aware of the transaction.

Your report should include all information reasonably required to assist in the investigation.

21.3Investigation

Upon receiving a report of an unauthorized transaction, Trybesave may:

  1. investigate the transaction;
  2. request additional information or documentation;
  3. temporarily restrict the affected account;
  4. liaise with our licensed financial partners;
  5. report the matter to law enforcement or regulators where required.

21.4Customer Liability

You may be responsible for losses resulting from:

  1. sharing your security credentials;
  2. authorizing another person to use your account;
  3. gross negligence;
  4. fraudulent conduct;
  5. failure to promptly report unauthorized activity.

21.5Trybesave Liability

Where an unauthorized transaction results directly from:

  1. a system malfunction;
  2. internal operational error;
  3. proven security failure attributable to Trybesave;
  4. negligence by Trybesave or its authorized personnel,

Trybesave shall take appropriate corrective measures in accordance with applicable law, regulatory requirements and the operational procedures of its licensed financial partners.

Nothing in this section limits any statutory rights available to consumers under applicable Nigerian law.

22.Marketing and Communications

22.1Service Communications

By creating an account, you consent to receiving service-related communications that are necessary for the operation and security of your account.

These communications may include:

  1. login notifications;
  2. transaction alerts;
  3. OTPs;
  4. password reset messages;
  5. fraud alerts;
  6. security notifications;
  7. payment confirmations;
  8. savings reminders;
  9. account updates;
  10. regulatory notices;
  11. maintenance notifications.

These communications are essential for the operation of the Platform and cannot be completely disabled while your account remains active.

22.2Marketing Communications

Subject to applicable law, Trybesave may send you information regarding:

  1. new products and services;
  2. promotions and rewards;
  3. referral programmes;
  4. financial education;
  5. budgeting insights;
  6. personalized recommendations;
  7. partner offers;
  8. surveys;
  9. newsletters.

22.3Personalized Communications

Where you have provided the necessary consent, communications may be tailored using your transaction history, spending behaviour, savings activity, Wellness Score, AI-generated insights and other information processed in accordance with our Privacy Policy.

22.4Withdrawal of Marketing Consent

You may withdraw your consent to receive marketing communications at any time by:

  1. updating your communication preferences within the Platform;
  2. selecting the unsubscribe option provided in electronic communications; or
  3. contacting Customer Support.

Withdrawal of marketing consent does not affect the delivery of mandatory service or regulatory communications.

22.5Communication Channels

Communications may be delivered through:

  1. in-app notifications;
  2. email;
  3. SMS;
  4. telephone calls;
  5. push notifications;
  6. WhatsApp or other messaging platforms officially designated by Trybesave, where applicable.

23.Intellectual Property

23.1Ownership

The Platform, including its software, source code, object code, APIs, databases, user interface, visual designs, graphics, logos, trademarks, service marks, business names, text, audio, video, AI models, algorithms, Wellness Score methodology and all related intellectual property rights are owned by or licensed to Trybesave.

Nothing in these Terms transfers any ownership rights to you.

23.2Limited Licence

Subject to your compliance with these Terms, Trybesave grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for your personal or internal business purposes.

23.3Restrictions

Except as expressly permitted by applicable law, you shall not:

  1. reproduce the Platform;
  2. modify the Platform;
  3. copy any content;
  4. reverse engineer any software;
  5. decompile or disassemble any application;
  6. create derivative works;
  7. remove copyright or proprietary notices;
  8. distribute or commercially exploit any part of the Platform without prior written consent.

23.4Feedback

Any suggestions, ideas, recommendations or feedback provided by you concerning the Platform may be used by Trybesave without restriction or compensation, provided that such use does not infringe your legal rights or applicable law.

24.Acceptable Use

You agree to use the Platform responsibly, lawfully and in accordance with these Terms.

You shall not use the Platform to:

  1. engage in fraud or financial crime;
  2. facilitate money laundering or terrorism financing;
  3. finance unlawful activities;
  4. violate sanctions laws;
  5. submit false KYC information;
  6. impersonate another person;
  7. access another user's account without authorization;
  8. circumvent transaction limits or security controls;
  9. manipulate promotions or referral programmes;
  10. interfere with the operation of the Platform;
  11. distribute malware, viruses or malicious code;
  12. conduct unauthorized penetration testing;
  13. scrape, harvest or extract Platform data without authorization;
  14. infringe intellectual property rights;
  15. engage in abusive, threatening or unlawful conduct toward Trybesave employees, agents or other users;
  16. use the Platform in any manner that could damage its integrity, reputation or security.

Trybesave reserves the right to investigate any suspected violation of this section and may, without prejudice to any other rights or remedies available under law:

  1. suspend or terminate your account;

ii. refuse or reverse transactions where legally permissible;

iii. restrict access to specific services;

iv. recover losses or damages;

  1. report the matter to law enforcement or regulatory authorities; and

vi. take any other action reasonably necessary to protect the Platform, its users, or its licensed

financial partners.

Nothing in this section limits Trybesave's obligations to comply with applicable laws, regulations, court orders or lawful directives issued by competent authorities.

Part III

Account Management and Legal Protections

25.Suspension of Accounts

25.1Right to Suspend

To protect users, comply with applicable laws, or preserve the integrity of the Platform, Trybesave reserves the right to suspend, restrict or temporarily disable your Account, Wallet or access to any Service without prior notice where permitted by law.

25.2Grounds for Suspension

Your Account may be suspended where:

  1. we are unable to verify your identity or KYC information;
  2. you fail to comply with these Terms;
  3. fraudulent or suspicious activity is detected;
  4. your Account is reasonably suspected to have been compromised;
  5. there is suspected money laundering, terrorist financing, proliferation financing or other financial

crime;

  1. a regulatory authority, court or law enforcement agency issues a lawful directive requiring such

action;

  1. your activities expose Trybesave, its licensed financial partners or other users to legal, regulatory,

operational or reputational risk;

  1. there is a cybersecurity incident or security concern affecting your Account or the Platform;
  2. there are outstanding compliance requests which remain unresolved; or
  3. suspension is necessary to protect customer funds or the stability of the Platform.

25.3Effect of Suspension

During a period of suspension, Trybesave may:

decline or delay transactions;

  1. restrict access to all or part of the Platform;
  2. disable Wallet functionality;
  3. suspend savings, lending or payment services;
  4. prevent withdrawals where required by law;
  5. require additional verification before restoring access.

25.4Restoration of Access

Where the reason for suspension has been resolved to our satisfaction, Trybesave may restore access to your Account, subject to any additional verification or compliance requirements.

Restoration of access shall be at the sole discretion of Trybesave, subject to applicable law and the requirements of its licensed financial partners.

26.Termination

26.1Termination by You

You may close your Account at any time by submitting a request through the Platform or by contacting Customer Support.

Before your Account is closed, you must:

  1. complete all pending verification requirements where applicable;
  2. settle all outstanding obligations owed to Trybesave or any licensed financial partner;
  3. repay all outstanding loans or credit facilities;
  4. withdraw or transfer any available Wallet balance, subject to applicable law.

26.2Termination by Trybesave

Trybesave may terminate your Account immediately where:

  1. you materially breach these Terms;
  2. false, misleading or fraudulent information has been supplied;
  3. your Account has been used for unlawful purposes;
  4. you engage in fraud, financial crime or abuse of the Platform;
  5. regulatory requirements require termination;
  6. continuing to provide Services would expose Trybesave or its licensed financial partners to unacceptable legal or regulatory risk;
  7. your Account has remained inactive for a prolonged period, subject to applicable law and prior notice where required.

26.3Consequences of Termination

Following termination:

  1. access to the Platform may be permanently disabled;
  2. your Wallet may be closed;
  3. pending transactions may be cancelled where legally permissible;
  4. outstanding obligations shall remain payable;
  5. retained data shall continue to be processed where required by law;
  6. Trybesave may continue to comply with regulatory, judicial and law enforcement requests relating to your Account.

Termination shall not affect any rights or obligations that accrued before the effective date of termination.

27.Data Retention

27.1Regulatory Retention

Trybesave retains customer information only for as long as necessary to fulfil legal, regulatory, contractual and operational obligations.

Financial records, transaction histories, KYC documentation and related information may be retained for the period prescribed under applicable Nigerian laws and regulatory requirements, including anti-money laundering and financial reporting obligations.

27.2Purpose of Retention

Information may be retained for purposes including:

  1. compliance with applicable laws;
  2. fraud prevention and investigation;
  3. dispute resolution;
  4. audit and accounting requirements;
  5. regulatory reporting;
  6. enforcement of legal rights;
  7. cybersecurity investigations;
  8. business continuity and disaster recovery.

27.3Secure Storage

Retained information shall be protected using appropriate administrative, technical and organizational safeguards designed to prevent unauthorized access, disclosure, alteration or destruction.

27.4Deletion and Anonymization

Where retention is no longer required, personal information shall be securely deleted, anonymized or otherwise disposed of in accordance with applicable law and Trybesave's internal data retention policies.

Nothing in this section limits any statutory rights available to data subjects under the Nigeria Data Protection Act (NDPA).

28.Limitation of Liability

28.1General Limitation

To the fullest extent permitted by applicable law, Trybesave shall not be liable for any indirect, incidental, consequential, special, punitive or exemplary loss or damage arising from or relating to your use of the Platform.

28.2Excluded Losses

Without limitation, Trybesave shall not be liable for:

  1. loss of profits;
  2. loss of revenue;
  3. loss of business opportunities;
  4. loss of anticipated savings;
  5. reputational damage;
  6. business interruption;
  7. indirect financial losses;
  8. loss resulting from inaccurate information supplied by you;
  9. delays caused by third-party financial institutions, payment networks or telecommunications providers.

28.3Third-Party Services

Certain financial services are provided by licensed financial institutions and other third-party service providers.

Trybesave shall not be responsible for acts, omissions, delays or service interruptions attributable solely to such third parties, except where liability cannot be excluded under applicable law.

28.4System Availability

While Trybesave endeavours to maintain continuous availability of the Platform, uninterrupted access cannot be guaranteed.

The Platform may be unavailable due to:

  1. scheduled maintenance;
  2. emergency maintenance;
  3. software updates;
  4. telecommunications failures;
  5. internet disruptions;
  6. power outages;
  7. failures of third-party infrastructure;
  8. cyber incidents;
  9. events beyond our reasonable control.

28.5Consumer Rights

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or restricted under the laws of the Federal Republic of Nigeria, including applicable consumer protection legislation.

29.Indemnity

29.1Customer Indemnity

You agree to indemnify, defend and hold harmless Trybesave Technologies Limited, its directors, officers, employees, affiliates, contractors, agents, licensors, licensed financial partners and service providers from and against any claims, actions, proceedings, liabilities, losses, damages, costs, expenses or demands (including reasonable legal fees) arising from or relating to:

  1. your breach of these Terms;
  2. your misuse of the Platform;
  3. fraudulent, negligent or unlawful acts or omissions committed by you;
  4. any violation of applicable laws or regulatory requirements;
  5. infringement of the intellectual property or other legal rights of any person;
  6. inaccurate, misleading or fraudulent information supplied by you;
  7. transactions initiated or authorized using your Account or security credentials, except where

resulting solely from the proven negligence or wilful misconduct of Trybesave.

29.2Regulatory Costs

Where your actions result in regulatory investigations, penalties, fines, chargebacks, recovery actions or losses suffered by Trybesave or its licensed financial partners, you shall remain responsible for all losses to the extent permitted by applicable law.

29.3Survival

The obligations contained in this Indemnity section shall survive the suspension, closure or termination of your Account and the termination of these Terms to the extent necessary to give effect to their purpose.

30.Force Majeure

30.1Events Beyond Our Control

Trybesave shall not be liable for any delay, interruption, failure or inability to perform any obligation under these Terms where such delay or failure results from events beyond our reasonable control ("Force Majeure Event").

Force Majeure Events include, without limitation:

  1. acts of God;
  2. flood, fire, earthquake or other natural disasters;
  3. epidemic or pandemic;
  4. war, terrorism, civil unrest, riot or insurrection;
  5. strikes, industrial disputes or labour shortages;
  6. government actions or regulatory restrictions;
  7. changes in applicable law;
  8. nationwide power outages;
  9. telecommunications failures;
  10. internet disruptions;
  11. cyberattacks beyond our reasonable control;
  12. failures of payment networks or financial market infrastructure;
  13. acts or omissions of third-party infrastructure providers;
  14. any other event beyond the reasonable control of Trybesave.

30.2Suspension of Obligations

Where a Force Majeure Event occurs, the affected obligations shall be suspended only for the duration of the Force Majeure Event.

Trybesave shall use commercially reasonable efforts to resume the affected Services as soon as practicable.

30.3No Waiver

The occurrence of a Force Majeure Event shall not relieve either party of obligations that accrued before the occurrence of such event.

31.Dispute Resolution

31.1Customer Complaints

Trybesave is committed to resolving customer complaints promptly, fairly and transparently.

If you have a complaint regarding the Platform or any Service, you should first contact our Customer Support team using the contact details provided in these Terms or within the Platform.

We shall endeavour to acknowledge and investigate complaints within the timelines prescribed by applicable laws and regulatory guidelines.

31.2Internal Resolution

Both parties agree to make reasonable efforts to resolve disputes through good-faith discussions before commencing legal proceedings.

31.3Regulatory Remedies

Nothing in these Terms limits your right to submit complaints to any competent regulatory authority, including the Central Bank of Nigeria (CBN), the Nigeria Data Protection Commission (NDPC), the Federal Competition and Consumer Protection Commission (FCCPC), or any other authority with jurisdiction over the subject matter of the complaint.

31.4Court Proceedings

Where a dispute cannot be resolved through internal complaint resolution or any applicable regulatory process, either party may refer the matter to a court of competent jurisdiction in Nigeria.

Nothing in these Terms shall prevent Trybesave from seeking interim or injunctive relief where necessary to protect its legal rights, customer funds, confidential information or intellectual property.

32.Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Without limitation, these Terms are intended to operate consistently with applicable Nigerian legislation and regulatory instruments, including those relating to:

  1. banking and financial services;
  2. payment systems;
  3. consumer protection;
  4. anti-money laundering and counter-terrorism financing;
  5. cyber security;
  6. data protection;
  7. electronic transactions; and
  8. financial crime prevention.

If any provision of these Terms becomes inconsistent with any mandatory provision of applicable law, the relevant legal requirement shall prevail to the extent of the inconsistency, while the remaining provisions shall continue in full force and effect.

33.Regulatory Changes and Amendments

33.1Regulatory Compliance

Trybesave may amend these Terms where necessary to:

  1. comply with applicable laws;
  2. implement new regulatory requirements;
  3. comply with directives issued by competent authorities;
  4. improve the Platform;
  5. introduce new products or services;
  6. strengthen customer protection;
  7. improve security;
  8. address operational or technological developments.

33.2Notice of Changes

Where a proposed amendment materially affects your rights or obligations, Trybesave will provide reasonable notice through one or more of the following channels:

  1. in-app notifications;
  2. email;
  3. SMS;
  4. push notifications;
  5. publication on our website or within the Platform; or
  6. any other legally permissible communication channel.

Minor administrative, typographical or non-material amendments may take effect immediately without prior notice where permitted by law.

33.3Continued Use

Your continued use of the Platform after an amendment becomes effective constitutes your acceptance of the revised Terms.

If you do not agree to any amendment, you must discontinue use of the Platform and may request closure of your Account, subject to applicable legal and regulatory obligations.

  1. You have carefully read, understood and agreed to be legally bound by these Terms and Conditions, the Privacy Policy and any product-specific terms applicable to the Services you use.
  2. The information you provide to Trybesave is accurate, complete and current, and you will promptly notify us of any material changes.
  3. You authorize Trybesave and its licensed financial partners to verify your identity and conduct Know Your Customer (KYC), Anti-Money Laundering (AML), Counter Financing of Terrorism (CFT), fraud prevention and other compliance checks as required by applicable law.
  4. You consent to the collection, processing, storage, sharing and retention of your personal information in accordance with these Terms, the Privacy Policy and applicable Nigerian data protection laws.
  5. You understand that certain financial services available through the Platform are provided in collaboration with licensed financial institutions and other regulated service providers.
  6. You acknowledge that the Platform uses Artificial Intelligence (AI), machine learning and automated systems to provide financial insights, budgeting recommendations, fraud detection, credit eligibility assessments, Wellness Scores and other intelligent features. You understand that such outputs are intended to support your financial decision-making and do not constitute financial, investment, legal or tax advice.
  7. You agree that your use of the Platform is subject to applicable transaction limits, security requirements, regulatory obligations and these Terms.
  8. You consent to receive essential service communications, including security alerts, transaction notifications, regulatory notices and other communications necessary for the operation and security of your Account. You may manage your preferences for non-essential marketing communications in accordance with these Terms.
  9. You understand that Trybesave may suspend, restrict or terminate your access to the Platform where required by law, regulation, security considerations or these Terms.
  10. You acknowledge that these Terms constitute a legally binding agreement between you and Trybesave Technologies Limited.
